The rules we operate by.

Welcome to Frobits. These Terms of Service (the "Terms") govern your access to and use of Frobits, a product operated by Soro Technologies, Inc. ("Soro," "we," "us," or "our"). By accessing or using Frobits, you agree to be bound by these Terms.

Please read them carefully. If you do not agree with any part of these Terms, you must not use the service.

1. Acceptance of terms

By sending a message to our WhatsApp or Telegram number, visiting frobits.ai, using our web interface, or accessing any part of the service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy, each of which is incorporated herein by reference.

If you are using the service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. The service

Frobits is an AI-powered music creation platform. Through messaging applications (including but not limited to WhatsApp, Telegram, and future supported channels) and web interfaces, you can:

• Submit text prompts describing a song you want to create;
• Receive AI-generated original songs based on your prompts, including lyrics, composition, vocals, and mastered audio;
• Purchase credit packs to generate additional songs.
• Order video adverts for a business, with an original jingle, and product photos and posters ("Adverts", see section 8);
• Watch short AI-generated drama series, and, where offered, order episodes made from your own story ("Frobits Drama", see section 9).

The service is provided on an "as is" and "as available" basis. Features, pricing, and availability may change at our discretion.

3. Eligibility

To use Frobits, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher;
• Have the legal capacity to enter into a binding contract;
• Not be prohibited from using the service under applicable laws;
• Comply with these Terms and all applicable local, national, and international laws and regulations.

If you are under 18, you may only use Frobits under the direct supervision of a parent or legal guardian who has agreed to these Terms on your behalf.

4. Your account

When you interact with Frobits through a messaging platform, we associate your account with your phone number or messaging platform identifier. You are responsible for:

• Maintaining the security of the device and messaging account you use to access Frobits;
• All activity that occurs under your account;
• Notifying us immediately at support@frobits.ai of any unauthorized access or use.

We are not liable for any loss or damage arising from unauthorized use of your account where such unauthorized use resulted from your failure to secure your device or messaging credentials.

5. Credits & payment

Frobits uses a credit-based model. Each credit entitles you to generate one song. Credits are sold in packs, with pricing localized by region. All prices are displayed inclusive or exclusive of applicable taxes as required by local law.

Payment processors

We use regulated third-party payment processors to handle transactions. By making a purchase, you also agree to the terms of the relevant payment processor. We do not store your full payment card details on our servers.

Credit validity

Unless otherwise stated at the point of purchase, credits do not expire but are non-transferable between accounts. Credits have no cash value, cannot be redeemed for cash, and cannot be traded or sold.

Pricing changes

We may change the price of credit packs at any time. Changes will not affect credits you have already purchased. New prices apply from the date they are published on our website or announced to you directly.

Refunds

Refunds are governed by our Refund Policy.

6. Content & ownership

Your prompts

You retain all rights in the text prompts you submit to Frobits ("User Prompts"). By submitting a User Prompt, you grant Soro a worldwide, royalty-free, non-exclusive license to use, store, process, and transmit that prompt for the purpose of providing the service, training and improving our systems (in aggregated or anonymized form only where applicable).

Your generated songs

Subject to payment in full and continued compliance with these Terms, you own the audio files, lyrics, and underlying composition of songs generated for you through Frobits ("Your Songs"), and you may use them for personal or commercial purposes.

Exceptions to your ownership:

• You do not own any third-party content that may be incorporated by reference (for example, the name of a real person, brand, or copyrighted work you included in your prompt);
• You grant us a worldwide, royalty-free, non-exclusive license to host, reproduce, distribute, publicly perform, and display Your Songs as necessary to operate the service, including on our Radio feature and public-facing pages, unless you explicitly request removal.

Publishing is your choice. From 28 September 2026 a new song is private when it is made. It appears on our Radio feature and other public pages only after you choose to share it, and the license above covers only what you share. You can stop sharing at any time.

7. AI-generated music

You further acknowledge that:

• AI-generated music may inadvertently resemble existing copyrighted works, despite our efforts and those of our vendors to prevent this;
• You are responsible for reviewing songs generated for you before publishing, distributing, or exploiting them commercially;
• Soro does not warrant that Your Songs are free of similarity to existing works, and we disclaim all liability for claims arising from such similarity to the maximum extent permitted by law;
• In some jurisdictions, works generated substantially by AI may not be eligible for copyright protection in your name.

8. Adverts

Frobits Adverts lets a business order advertising made for it. What an order includes and its price are shown before you pay, and we deliver by email or WhatsApp.

What you get

• A finished video advert in the length and style you chose, with an original jingle made for it (or a song you uploaded and have the rights to) and, if you ordered one, a voiceover;
• If you ordered them, product photos and posters.

Revisions

If a delivered advert has a fault on our side (for example it does not show your product, its sound or picture is broken, or it is not what you ordered), tell us within 7 days of delivery and we will fix it or make it again at no charge. A change of direction after delivery is a new order.

Your licence

Once you have paid in full, we grant you a perpetual, worldwide licence to use, copy, edit, publish and broadcast the delivered advert, jingle, photos and posters in your own marketing and advertising, in any medium. Soro keeps ownership of the models, tools, templates and software used to make them.

Your brand materials

You confirm that you own, or have permission to use, everything you upload for an order: logos, product photos, trademarks, names, music and text. We use those materials only to make and deliver your order. You are responsible for the claims your advert makes and for the advertising rules that apply to your business and market.

Refunds for advert orders are covered in section 3 of our Refund Policy.

9. Frobits Drama

Some episodes may need a paid pass to watch; if so, the price is shown before you pay. Ordering episodes or a season made from your own story is a feature we are introducing. Where it is offered, what is included and the price are shown before you pay, and your story is treated as a User Prompt under section 6.

If your story is about real people, you confirm you have their permission. We may decline a story that could harm or mislead others.

Refunds for Frobits Drama are covered in section 4 of our Refund Policy.

10. Copyright & DMCA

Soro respects the intellectual property rights of others and requires users to do the same. If you believe that material accessible through Frobits infringes your copyright, please send a notice of claimed infringement to support@frobits.ai with the subject line "DMCA Notice" including:

1. A physical or electronic signature of the copyright owner or authorized representative;
2. Identification of the copyrighted work claimed to have been infringed;
3. Identification of the material claimed to be infringing, including the URL or sufficient detail to locate it;
4. Your contact information (address, telephone number, email);
5. A statement that you have a good-faith belief that the use is not authorized;
6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

We will respond to valid DMCA notices within a reasonable timeframe, typically by removing the allegedly infringing content and notifying the user who generated it. Repeat infringers will have their accounts terminated.

11. Prohibited uses

You agree not to use Frobits to:

• Generate content that infringes copyright, trademark, publicity rights, or other intellectual property rights of any third party;
• Create content that is defamatory, harassing, hateful, threatening, or promotes violence against any person or group;
• Generate sexually explicit content involving minors, or content that sexualizes real minors in any way;
• Impersonate any person, including public figures, deceased persons, or other users, in a manner intended to deceive;
• Create audio deepfakes of identifiable real people's voices without their documented consent;
• Circumvent, disable, or interfere with security or rate-limiting features of the service;
• Use automated systems (bots, scrapers, scripts) to access the service except through interfaces we explicitly authorize;
• Resell, sublicense, or redistribute access to the service without our written consent;
• Use the service for any illegal purpose or in violation of any applicable law.

Violation of these rules may result in immediate account termination, credit forfeiture, removal of content from our service, and where applicable, referral to law enforcement.

Zero tolerance, reporting and blocking

Frobits has zero tolerance for objectionable content and abusive users. You can report any song from its menu and block any artist so you no longer see their songs. We review every report within 24 hours and remove content that breaks these Terms; whoever posted it may lose their account. By making or sharing a song on Frobits, you agree to these rules.

12. Termination

We may suspend or terminate your access to Frobits at any time, with or without cause, with or without notice, if we reasonably believe you have violated these Terms or if required by law.

You may stop using the service at any time. Upon termination:

• Your right to use the service ends immediately;
• Unused credits may be forfeited if termination is for cause;
• Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, liability limits, indemnification, and governing law) will survive.

13. Disclaimers & warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SORO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE;
• WARRANTIES OF NON-INFRINGEMENT;
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF AI-GENERATED CONTENT.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SORO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO SORO IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100 USD).

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability, so some of the above limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Soro, its affiliates, and its employees from any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property, publicity, or privacy rights; or (d) content you generate or distribute through the service.

16. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the service will be resolved exclusively in the state or federal courts located in Delaware, unless otherwise required by mandatory law in your jurisdiction.

For users in the European Economic Area, United Kingdom, India, Nigeria, and other jurisdictions with mandatory consumer protection laws, nothing in these Terms affects your rights under those laws.

17. Changes to these terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, notify you through the service or by other reasonable means.

Your continued use of the service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the service.
